These Terms of Service (“Terms”) govern your access to and use of the website madischu.com (the “Site”), and all services, products, and content provided by Madischu LLC (“we,” “us,” or “our”).
This includes:

  • Health & wellness counseling and life coaching
  • Website development, e-commerce and personal websites, website audits, business strategy and internet marketing strategy
  • Digital products (e-books, online courses, templates)
  • Physical products
  • Any related content, tools, or communications

By accessing the Site, purchasing a product/service, or engaging in counseling, coaching, or consulting services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.

  1. Eligibility
    You must be at least 18 years old (or the age of majority in your jurisdiction) to use our services. By using the Site, you represent that you meet this requirement.
    Minors under 18 may only use services with verifiable parental/guardian consent and direct supervision.
  2. Services Overview
    A. Coaching & Counseling (Health, Wellness, Life Coaching)
  • Sessions are not medical advice, therapy, or psychotherapy.
  • We are not licensed medical professionals unless explicitly stated.
  • You are responsible for consulting a qualified healthcare provider for medical conditions.
  • Results are not guaranteed. Outcomes depend on your effort, consistency, and individual circumstances.
  1. Website & Marketing Services
  • Includes audits, builds, SEO, copywriting, and strategy.
  • We deliver work as described in your service agreement or proposal.
  • You provide accurate, legal, and complete materials (content, logins, goals).
  • We are not liable for changes made by third-party platforms (E.g., Google, Meta).
  1. Digital Products (E-books, Courses, Templates)
  • Non-refundable unless stated otherwise (see Section 7).
  • For personal use only – no resale, distribution, or commercial reuse.
  • Access may expire (e.g., courses close after 12 months).
  1. User Accounts
  • You may need an account to access courses, client portals, or scheduling.
  • You are responsible for:
    • Keeping your login secure
    • All activity under your account
    • Notifying us immediately of unauthorized use
  • We reserve the right to suspend/terminate accounts for violations of these Terms.
  1. Payment & Billing
  • All fees are in USD unless otherwise stated.
  • Payments can be made via Stripe, PayPal, or bank transfer (processed securely).
  • You authorize us to charge the payment method you have selected.
  • Late payments incur a 1.5% monthly fee (or maximum allowed by law).
  • No chargebacks without prior written resolution attempt.

  • You are granted a limited, non-transferable, non-exclusive license for personal or internal business use.
  • Prohibited: Copying, reselling, publishing, or creating derivative works.
    B.Your Content
  • You retain ownership of materials you provide (photos, text, website data).
  • You grant us a royalty-free, worldwide license to use, modify, and display your content solely for the purpose of delivering services (e.g., building your website).
  • Comments, Reviews, and Emails
    You may post content as long as it is not obscene, illegal, defamatory, threatening, infringing on intellectual property rights, invasive of privacy, or injurious in any other way to third parties. Content must be free of software viruses, political campaigns, and commercial solicitations.
    We reserve all rights (but not the obligation) to remove and/or edit such content. When you post your content, you grant Madischu LLC a non-exclusive, royalty-free, and irrevocable right to use, reproduce, publish, and modify such content throughout the world in any media.
  1. Communications
    All communication with us is conducted electronically. Every time you send us an email or visit our website, you will be communicating with us. You hereby consent to receive communications from us. If you subscribe to the news on our website, you are going to receive regular emails from us. We will continue to communicate with you by posting news and notices on our website and by sending you emails. You also agree that all notices, disclosures, agreements, and other communications we provide to you electronically meet the legal requirements that such communications be in writing.
  2. License and Site Access
    We grant you a limited license to access and use this website for personal purposes. You are not allowed to download or modify it. This may be done only with written consent from us.

  3. User Account
    If you are an owner of an account on this website, you are solely responsible for maintaining the confidentiality of your private user details (username and password). You are responsible for all activities that occur under your account or password.
    We reserve all rights to terminate accounts, edit or remove content, and cancel orders at our sole discretion.
  4. Client Responsibilities:
    You agree to:
  • Provide truthful, complete information
  • Attend scheduled sessions or give a 24-hour notice for rescheduling
  • Comply with platform rules (Brevo, Zoom, Google, etc.)
  • Not record coaching sessions without written consent

10.  Refunds & Cancellations

Service

Refund Policy

Coaching Packages

A 50% refund will be provided if the cancellation occurs before the first session. No refunds after.

Website/Marketing Projects

50% deposit is non-refundable. Balance due on milestones. Refunds prorated for work completed.

Digital Products (Courses, E-books)

No refunds – all sales final.

Custom Work (Audits, Strategy)

Case-by-case; outlined in project agreement.

We offer a full refund within 30 days of purchase, provided that no sessions have been used and no files have been downloaded.

11. Scheduling & No-Shows

  • Reschedule at least 24 hours in advance by using the automatic Brevo rescheduling platform or emailing us.
  • No-shows or late cancellations = full session fee charged, no makeup.

We reserve the right to cancel/reschedule with notice.

12. Termination

We may terminate or suspend your access immediately if you:

  • Breach these Terms
  • Engage in abusive, fraudulent, or illegal behavior
  • Damage our reputation or systems

Upon termination:

  • Access to courses/portals ends immediately
  • No refunds for remaining services

13. Disclaimers

  • Services are “as is” – no warranties of results, uptime, or fitness for purpose.
  • Coaching is not therapy. We do not treat mental illness or medical conditions.
  • We are not liable for:
    • Your business decisions
    • Third-party tool failures
    • Lost profits or data
  • Digital products may contain links to external resources; use them at your own risk.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our liability is limited to the amount you paid us in the past 12 months.
  • We are not liable for indirect, incidental, or consequential damages (lost revenue, emotional distress, etc.).

15. Indemnification

You agree to defend and indemnify us from claims arising from:

  • Your violation of these Terms
  • Your content or materials
  • Your use of services in an unlawful manner

16. Governing Law & Dispute Resolution

  • Disputes
    Any dispute related in any way to your visit to this website or to products you purchase from us shall be arbitrated by a Connecticut state or federal court, and you consent to exclusive jurisdiction and venue of such courts.
  • Governing Law: Laws of the State of Connecticut, United States, without regard to conflict of laws.
  • Disputes: First attempt informal resolution within 30 days.
    Then, binding arbitration in Fairfield, Connecticut, under AAA rules (or small claims court if the amount is under $10,000).
  • No class actions.

17. Force Majeure

We are not liable for delays due to events beyond our control (natural disasters, pandemics, cyberattacks, etc.).

18. Changes to Terms

We may update these Terms. Changes posted here with a new “Last Updated” date.
Continued use after changes = acceptance.

19. Miscellaneous

  • Entire Agreement: These Terms + any signed proposals = full agreement.
  • Severability: Invalid provisions do not affect the rest.
  • No Waiver: Failure to enforce a right ≠ waiver.
  • Assignment: We may assign rights; however, you may not assign them without our consent.
